Objective and Purpose of the Assignment

The Asian Development Bank (ADB) has been supporting developing member countries across Asia and the

Pacific in their transition toward cleaner and more sustainable energy systems.

Cambodia is one such

country, where the expansion of renewable energy and the promotion of energy efficiency are key pillars

of the government's strategy to meet rapidly growing electricity demand in a secure, affordable, and

sustainable manner.

In this context, Cambodia has set ambitious targets to achieve 70% renewable

electricity generation by 2030 and reduce energy consumption by 19% compared with business-as-usual

levels by 2030.

As Cambodia continues to increase the share of renewable energy in its power system, demand for

renewable energy certificates (RECs) has grown significantly, particularly from multinational companies

with operations in Cambodia that export to markets in Europe and North America.

These companies

increasingly require credible and internationally recognized RECs to demonstrate that their electricity

consumption is sourced from renewable energy and to comply with international decarbonization

frameworks, including RE100, the Science Based Targets initiative (SBTi), the Carbon Disclosure Project

(CDP), and the Greenhouse Gas Protocol.

Recognizing the growing importance of RECs, the Ministry of Mines and Energy (MME) issued Prakas No.

0039 in January 2025, establishing the foundation for a domestic REC mechanism in Cambodia.

The Prakas

defines the roles and responsibilities of relevant government institutions and sets out principles

governing REC issuance, transfer, redemption, and eligibility.

Prior to the issuance of the Prakas, REC

buyers could procure internationally certified renewable energy certificates (I-RECs) from eligible

renewable energy generators in Cambodia under the International Tracking Standard Foundation.

However,

issuance of I-RECs in Cambodia was temporarily suspended following issuance of Prakas No. 0039 on the

grounds of a double counting risk and the need to operationalize a local REC issuer.

To support the operationalization of the domestic REC market, ADB has been assisting the Government of

Cambodia in reviewing and enhancing market design features to ensure that the mechanism can be

recognized by international REC frameworks.

The updated market design will further clarify key elements

of the REC system, including institutional arrangements, treatment of environmental attributes, and

interoperability with international standards and markets.

The adoption of the updated market design

will require amendments to Prakas No. 0039.

Given the technical and legal complexity of REC markets and the importance of ensuring international

credibility and investor confidence, specialized international expertise is required to review the

regulatory provisions underpinning the mechanism.

Accordingly, the services of an international legal

specialist with extensive experience in REC frameworks ("the consultant") are required to advise MME,

the Electricity Authority of Cambodia (EAC) and EDC as they revise Prakas No. 0039.

Scope of Work

Based on the domestic REC market design developed by the government, the consultant will assist in

drafting amendments to Prakas No. 0039.

Having as basis the roadmap document prepared to guide the

updates to Prakas No. 0039, the consultant will propose and draft (or remove) provisions that adequately

reflect the updated market design in consultation with MME, EAC, EDC and a national legal specialist.

Detailed Tasks and/or Expected Output

The scope of work includes the following components:

i) Development of Amendment Proposals to Prakas No. 0039:

• Review the REC roadmap and develop recommendations for amending Prakas No. 0039.

• Identify provisions to be added, revised, or removed, including those related to market governance,

institutional roles, REC issuance and ownership, registry arrangements, market participation, reporting

requirements, and compliance mechanisms.

ii) Stakeholder Consultation:

• Conduct consultations with MME, EAC, EDC, and other relevant stakeholders to discuss amendment options

and regulatory implications.

• Consolidate stakeholder feedback and refine proposals to reflect agreed policy directions.

iii) Legal Drafting and Preparation of Amendment Package to Prakas No. 0039:

• Prepare draft amendments to Prakas No. 0039, including explanatory notes and comparison tables showing

existing and proposed text.

• Revise draft amendments based on stakeholder and government feedback and prepare a final draft

amendment package for government consideration.

iv) International and Best Practice Benchmarking:

• Based on relevant international and regional REC regulatory frameworks and market arrangements,

identify good practices that may be applicable to Cambodia's REC market.

• Provide technical justification for proposed amendments based on international experience and best

practice.

v) Validation and Finalization with Government Institutions:

• Join review meetings with government counterparts, where the rationale and implications of the

proposed amendments are discussed.

• Incorporate final comments and prepare the final amendment package for submission to MME/EAC/EDC.

Minimum Qualification Requirements

1.

Hold, at a minimum, a bachelor's degree in a legal field (e.g., law, legal studies, judicial science);

2.

Have at least 7 years of professional experience in legal advisory in the energy sector, climate

change, infrastructure or similar;

3.

Have a minimum of 5 years of experience supporting the design, regulation, or implementation of

renewable energy certificate (REC), environmental attributes, carbon emissions, or other energy market

mechanisms;

4.

Demonstrated experience in drafting, reviewing, or advising on energy sector laws, regulations,

decrees, ministerial regulations, or similar regulatory instruments;

5.

Demonstrated knowledge of internationally recognized REC standards and market frameworks (e.g., I-REC

(E), TIGRs, or equivalent), including governance, registry, issuance, and attribute ownership

arrangements;

6.

Experience in countries of Southeast Asia will be an advantage.
