1. Project objective
Objective and Purpose of the Assignment
The Kyrgyz Republic Adaptation and Resilience Financing Facility (ARFF) is a proposed financial
intermediary facility designed to support the Kyrgyz Republic's transition toward climate-resilient
agriculture, sustainable energy, and water-efficient infrastructure.
The facility, financed on a grant
basis by the Strategic Climate Fund (SCF) under the Pilot Program for Climate Resilience, aims to
address critical financing gaps for climate adaptation in a country warming at twice the global average.
The ARFF will be implemented through Eldik Bank and will aim at micro, small, and medium-sized
enterprises (MSMEs) in the following technology areas:
• Water efficiency: drip irrigation systems, mobile sprinklers, hydroponic systems, and rain/snow
harvesting infrastructure.
• Resilient infrastructure: energy-saving greenhouses (targeting 20%+ emissions reduction), climatesmart storage facilities, and renewable energy installations (solar, wind, bioenergy).
• Sustainable land management: organic inputs (biofertilizers), afforestation, improved cookstoves,
and sustainable agricultural practices.
The objective of this consultancy assignment is to support the comprehensive design, structuring, and
due diligence of ARFF, consistent with Eldik Bank’s Sustainable Finance Program.
This includes
developing the ARFF’s financial architecture, blended-finance structure, capitalization plan,

The TA consultants will support the design, structuring, and operational readiness of the Adaptation and
Resilience Financing Facility (ARFF) in line with Eldik Bank’s Sustainable Finance Program and ADB
requirements.
The assignments include developing the ARFF’s financial architecture, blended‑finance and
capitalization structure, eligibility criteria, fund‑flow and disbursement arrangements, and defining
the adaptation lending window, including priority sectors, technologies, appraisal criteria, climate
adaptation taxonomy, and Paris Agreement–aligned performance indicators.
The consultants will undertake
comprehensive technical, economic, financial, climate, environmental, social, gender, fiduciary,
integrity, and risk due diligence and prepare cost estimates, financing plans, and implementation
arrangements.
Institutional and operational frameworks, including governance, roles and
responsibilities, monitoring and reporting systems, and results measurement, will be developed, along
with all required project documentation and compliance instruments to support approval,
operationalization, and timely launch of the ensuing investment.
Detailed Tasks and/or Expected Output
1.
Financial due diligence
a.
Conduct comprehensive due diligence on Eldik Bank and the proposed facility structure, including
capital adequacy and capital structure, asset quality (including non-performing loans and provisioning
practices), liquidity position and funding profile, profitability, earnings sustainability, and cost
structure, following ADB technical notes and guidelines.
b.
Undertake stress testing of the proposed on-lending portfolio, including sensitivity to climate,
sectoral, and macroeconomic shocks.
2.
Governance and integrity assessment
a.
Assess governance, integrity, and control frameworks, including ownership structure and
shareholder oversight, board composition, independence, and effectiveness, management accountability and
decision-making processes, internal control systems and compliance functions, internal and external
audit arrangements.
b.
Review compliance with ADB’s integrity and anticorruption requirements and identify any integrity
red flags.
3.
Financial management and fiduciary systems
a.
Evaluate financial management and fiduciary systems, including accounting policies and standards
applied, financial reporting quality and timeliness, treasury operations and cash-flow management,
adequacy and independence of internal audit, scope and quality of external audit following ADB relevant
technical notes and guidelines.
b.
Assess Eldik Bank’s capacity to manage concessional climate finance resources in accordance with
ADB requirements.
4.
Credit appraisal and risk management - review policies and procedures for credit appraisal and risk
management, including loan origination and approval processes, portfolio monitoring and reporting
systems, credit concentration and sector exposure limits, provisioning methodologies and write-off
policies, early-warning systems, and management of problem assets.
5.
Risk identification and mitigation
a.
Identify key financial, fiduciary, and integrity risks associated with the ARFF and its
implementation.
b.
Propose practical risk-mitigation measures, including facility design features, financial
covenants and triggers, governance and reporting requirements, monitoring and supervision arrangements.
c.
Ensure that recommended measures are operationally feasible and proportionate to risk.
Minimum Qualification Requirements
1.
The consultant should have an advanced degree in finance, accounting, economics, business
administration, or a related field.
2.
The consultant should possess at least 10 years of relevant professional experience in financial due
diligence, bank supervision, auditing, or operations with multilateral development banks.
3.
Strong expertise in assessing financial institutions is required, including analysis of capital
adequacy, asset quality, liquidity, and overall financial performance.
4.
The consultant should demonstrate solid experience in governance, internal controls, and integrity or
anticorruption assessments;
as well as proven expertise in fiduciary systems, including financial
management, accounting standards, and audit arrangements.
5.
Experience in risk management, particularly credit risk analysis, portfolio stress testing, and
covenant design, is highly desirable.
6.
Familiarity with ADB or other development bank policies and financial intermediary operations is
strongly preferred.
7.
The consultant should also have excellent analytical, writing, and verbal communication skills in
English;
knowledge of the Russian language would be an advantage.
